The President and CEO of Soleil Resources International (SRI) Limited, El Hadj Inoussa KANAZOE, is honored and pleased to announce to all stakeholders in the Burkinabe mining sector the conclusion of a contract for the sale and purchase of all assets and interests of FORTUNA MINING CORPORATION in Burkina Faso.

The assets and interests in question include the operating company RoxGold SANU SA, holder of the mining permit for the Yaramoko gold mine, located in the Balé province, as well as three (3) of its subsidiaries:

• Roxgold Burkina SARL;
• Roxgold Exploration SARL;
• Roxgold Boussoura SARL.

Soleil Resources International (SRI) Limited, a company incorporated under Mauritian law with a Burkinabe beneficial owner, is strongly committed to supporting the implementation of the Burkinabe government's mining and quarrying policy.

The key points of the Agreement are as follows:

• Soleil Resources International (SRI) Limited acquires all issued and outstanding shares of RoxGold SANU SA and the three (3) other subsidiaries mentioned above;
• Fortuna Mining Corporation (FMC) will receive a payment totaling approximately USD 70 million, payable upon closing of the transaction;
• The agreement also provides for the payment of dividends for fiscal year 2024 in the amount of approximately USD 57.5 million and the amount of any VAT refunds subject to certain conditions;

As a reminder, on May 9, 2024, SRI acquired all the assets of AVESORO BURKINA HOLDING LIMITED (ABHL).

The completion of this acquisition, which is subject to prior approval by the Burkinabe Government through the Mining Administration, will place GROUPE SOLEIL RESOURCES among the leaders of the Burkinabe mining sector.
